Terms of Use

Effective 2026-07-13 Governing law: Republic of Korea

These Terms of Use ("Terms") govern your access to and use of the Agent-Fabric website, console, CLI and related services (the "Service"), provided by Falcon Eyes Inc. ("Falcon Eyes", "we"). By using the Service you agree to these Terms.

1. The Service

Agent-Fabric lets you connect your own machines into a private encrypted network and publish local models, tools and agents as private services with scoped, revocable access. The Service coordinates connectivity, identity and access; the AI workloads run on your hardware.

2. Eligibility & accounts

You must be able to form a binding contract to use the Service. You are responsible for your account, for the machines and users you add to your networks, and for keeping your credentials secure. Notify us promptly of any unauthorized use.

You are solely responsible for the models, data and services you run on your own machines and the access you grant to them.

4. Plans, billing & trials

Paid plans, fees and billing cycles are shown at purchase and charged through our payment provider (Toss Payments) in KRW per workspace per month. Displayed prices are the charged totals including VAT; the supply price and 10% VAT breakdown (공급가액 + 부가세) is shown at checkout and on receipts. We may change pricing prospectively with notice. Free tiers and time-boxed demos may have usage limits and may be modified or discontinued.

Right of withdrawal (청약철회). The service is provisioned immediately upon payment, and you separately consent to immediate provision at checkout. Accordingly, once provision has begun, withdrawal is restricted under Article 17(2) of the Act on Consumer Protection in Electronic Commerce (전자상거래법 제17조 제2항). Statutory withdrawal rights that cannot be excluded — e.g. where the service was not provided as agreed — are unaffected.

Auto-renewal. Paid plans renew automatically each month using the payment method you registered, with your separate consent given at subscription. We send an individual renewal notice by email at least 14 days before each recurring charge (전자상거래법 제17조의2).

Cancellation. You may stop auto-renewal at any time in the console (Network → Billing → Cancel auto-renew). No further charges are made after cancellation; your paid plan remains active until the end of the already-paid period, then the workspace returns to the free tier. Your data and self-hosted setup are never locked.

Failed payments. If a renewal charge fails we notify you by email and retry daily for up to 7 days while service continues (grace). If payment still fails, the managed data plane is suspended until payment resumes; your data is not deleted.

Refunds. Except as required by applicable law (including mandatory consumer-protection rules), fees already charged are non-refundable and cancellation takes effect at the end of the paid period. To request a refund required by law, contact billing@falconoon.com with your payment receipt.

Receipts & tax invoices. A payment receipt (매출전표) is issued for every charge and is available from the console's billing history. Businesses that require a Korean tax invoice (세금계산서) can request one at billing@falconoon.com with the payment receipt and business registration details; invoices are issued manually.

Fair use & service quality (공정 이용). Each plan includes a monthly managed-relay traffic budget (shown on the pricing page and in the console). Direct peer-to-peer connections between your machines are never limited and never count against this budget. When relayed traffic substantially exceeds the plan's budget, we may reduce the priority or speed of relayed traffic on shared relay infrastructure for the remainder of the usage window, after notifying you by email. We do not interrupt the Service or delete data on account of relay overage. We notify you by email as your usage approaches and reaches the budget.

Promotional credits & usage boosts. We may, at our discretion, grant promotional service credits or temporarily raise plan limits ("boosts") — for example as launch events, service-issue goodwill, or loyalty benefits. Credits and boosts are provided free of charge, have no cash value, are non-transferable and non-refundable, expire on the date stated when granted (or 12 months after grant if no date is stated), and may be revoked in cases of abuse or fraud. Credits apply only against future subscription charges.

5. Your content & privacy

You retain all rights to your models, data and outputs. Because AI traffic flows inside your own mesh, we do not access it. Our handling of the limited personal information and metadata we do process is described in the Privacy Policy.

6. Intellectual property

The Service, including the Agent-Fabric and Falcon Eyes names, logos, software and documentation, is owned by Falcon Eyes or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. Open-source components are licensed under their own terms. Brand use is governed by our Trademark policy.

7. Third-party services

The Service integrates third-party providers (e.g. identity, payments, hosting). We are not responsible for third-party services, which are governed by their own terms.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure against all threats. You are responsible for the security and lawful operation of your own machines and workloads.

9. Limitation of liability

To the maximum extent permitted by applicable law, Falcon Eyes will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us for the Service in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, to protect the Service or others, or as required by law. On termination, your right to use the Service ends; sections that by their nature should survive (e.g. IP, disclaimers, liability, governing law) survive.

11. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new effective date and, where required, notified to you. Continued use after changes take effect constitutes acceptance.

12. Governing law & disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules. The courts having jurisdiction over the location of Falcon Eyes' principal office shall have exclusive jurisdiction, unless mandatory consumer law provides otherwise.

Questions about these Terms, billing inquiries, and consumer complaints (소비자 불만 접수): support@falconoon.com. We acknowledge inquiries within 1 business day and aim to respond substantively within 3 business days. Unresolved consumer disputes may also be referred to the Korea Consumer Agency (소비자분쟁조정위원회) or the Electronic Commerce Dispute Mediation Committee (전자거래분쟁조정위원회).
